Subscription Terms
These terms govern paid Regstead subscriptions for businesses and professional organisations.
B2B terms: these Subscription Terms are drafted for customers acquiring Regstead wholly or mainly for business or professional purposes. They are not intended for consumer subscriptions.
1. Who these Terms are with
These Subscription Terms (“Terms”) form a contract between Foundry Vale Ltd, trading as Regstead, of 23 Berrow Park Road, Plymouth, Devon, PL3 5PZ (“Regstead”, “we”, “us” or “our”), and the business or professional organisation identified in the applicable order, sign-up or written acceptance (“Customer”, “you” or “your”).
If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.
2. Definitions
- Authorised User means a person the Customer permits to use the Service on its behalf.
- Monitored Site means the website or domain identified for scanning or monitoring.
- Order means the order page, checkout, proposal, email confirmation or other document recording the plan, fee, billing period and any agreed scope.
- Service means the Regstead website-monitoring, scanning, evidence, comparison and reporting service described in the Order and on our Website.
- Subscription Period means each recurring billing period stated in the Order.
3. Business use only
The Service is supplied for business and professional use. By subscribing, you confirm that you are acquiring the Service wholly or mainly for purposes relating to a trade, business, craft or profession and not as a consumer.
4. The Service
Regstead scans and monitors publicly accessible website material and may record pages, documents, links, technical signals, evidence, findings and changes over time.
The precise features, monitoring frequency, scan limits and plan scope are those described in your Order or current plan description. Unless an Order expressly says otherwise, a subscription covers one primary website or domain.
We may use reasonable technical limits, crawl limits and fair-use controls to protect the stability, security and performance of the Service.
5. Public content and authority to monitor
You authorise Regstead to access, scan, store and analyse publicly accessible material on the Monitored Site for the purpose of providing the Service.
You confirm that you own, operate or manage the Monitored Site, or otherwise have authority to instruct us to monitor it. The Service is not intended to bypass authentication, access controls or security restrictions.
6. Evidence, findings and regulatory status
Regstead is an evidence and monitoring tool. It does not provide legal advice, determine regulatory compliance, certify compliance or guarantee that a website is compliant.
Outputs may use labels such as PASS, WARNING, POTENTIAL ISSUE or UNKNOWN. These labels reflect the evidence and rule logic available to the Service at the time of a scan. They are not legal conclusions.
“Could not confirm” or UNKNOWN does not mean information is definitely missing. Likewise, a PASS does not guarantee compliance with every legal, regulatory or professional obligation.
You remain responsible for decisions made in response to Regstead findings and for obtaining legal or regulatory advice where appropriate.
7. Human review and service development
Some findings may be human-reviewed before being shared and some workflows may involve manual support. Features, automation and reporting may develop over time.
We will not materially remove the core monitoring service you have paid for during an active billing period without a reasonable basis, but we may improve, replace or reorganise features where the overall purpose of the Service is preserved.
8. Subscription, renewal and billing
Unless the Order states otherwise, subscriptions are billed monthly in advance and renew automatically for successive monthly Subscription Periods until cancelled.
The amount payable is the fee stated in your Order, plus VAT or other taxes where applicable.
Current Monitor price
The standard Regstead Monitor subscription is £16.99 per month for one primary website, unless your Order states otherwise. Additional services or scope changes may carry separate charges, subject to:
- VAT or other taxes that we are required to charge;
- additional websites, domains, users or optional services that you choose to add;
- changes in scope that you request and agree with us; and
- any separate services that are not included in Regstead Monitor.
If a subscription is cancelled or otherwise ends and is later restarted, the then-current pricing will apply unless we agree otherwise in writing.
9. Price changes
We may change subscription fees by giving at least 30 days’ notice. A price change will apply no earlier than the next renewal after the notice period expires.
If you do not accept the new price, you may cancel before it takes effect.
10. Payment
You must provide a valid payment method where automated billing is used. You authorise our payment provider to charge the subscription fee when due.
We do not need to store full payment-card details ourselves where payment is handled by a payment provider.
If payment fails, we may retry payment, ask you to update your payment details, suspend the Service or terminate the subscription after giving reasonable notice.
11. Cancellation
You may cancel at any time. Unless the Order says otherwise, cancellation takes effect at the end of the current paid Subscription Period and the Service remains available until then.
We do not normally provide pro-rata refunds for a partly used billing period, except where required by law or where we expressly agree otherwise.
There is no minimum term unless your Order expressly states one.
12. Suspension and termination by Regstead
We may suspend or terminate the Service where:
- fees remain unpaid after reasonable notice;
- you materially breach these Terms and, where the breach can be remedied, do not remedy it within a reasonable period after notice;
- use of the Service creates a material security, legal or technical risk;
- you use the Service unlawfully or fraudulently; or
- we are required to do so by law or a competent authority.
Where reasonably possible, we will give advance notice. We may act immediately where needed to address an urgent security or legal risk.
13. Your responsibilities
You are responsible for:
- providing accurate account, billing and Monitored Site information;
- keeping account credentials secure;
- ensuring Authorised Users comply with these Terms;
- reviewing findings and deciding what action, if any, should be taken;
- maintaining your own legal, regulatory and professional compliance; and
- ensuring you have the rights and authority necessary for information you provide to us.
14. Acceptable use
You must not use the Service to:
- monitor websites you are not authorised to submit where doing so would be unlawful or abusive;
- circumvent authentication, paywalls, security controls or access restrictions;
- probe, attack, overload or disrupt another system;
- introduce malware or malicious code;
- reverse engineer or attempt to extract Regstead source code except where the law expressly permits it;
- resell or white-label the Service without our written agreement; or
- misrepresent Regstead findings as legal advice or a compliance certification.
15. Service availability and maintenance
We use reasonable care and skill in providing the Service. However, we do not guarantee uninterrupted availability, a particular uptime percentage, or that every scan will complete successfully.
Scanning may be affected by website availability, robots or access restrictions, rate limits, anti-bot systems, network conditions, JavaScript rendering, document formats and other technical factors outside our control.
We may carry out maintenance and security work that temporarily affects the Service.
16. Data and privacy
Our Privacy Policy explains how Regstead uses personal information as a controller.
Where Regstead processes personal information solely on the Customer’s documented instructions and applicable data protection law requires a controller-processor agreement, the parties will enter into an appropriate data processing agreement.
We may use anonymised and aggregated information that does not identify the Customer or an individual to measure and improve the Service.
17. Customer data and service outputs
As between the parties, you retain ownership of information you provide to us and of your underlying website content.
You grant us a non-exclusive licence to host, copy, analyse and otherwise process that material only as reasonably necessary to provide, secure and improve the Service and to comply with law.
You may use Regstead reports and findings for your own internal business, compliance, governance and professional purposes. You must not remove Regstead branding and resell reports as a separate product unless we agree this in writing.
18. Our intellectual property
Regstead, WatchLayer, the software, rule packs, scanning methods, report structures, interfaces, branding and materials we create remain owned by us or our licensors.
During an active subscription, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes in accordance with these Terms.
19. Confidentiality
Each party will keep the other party’s confidential information confidential and will use it only for the purposes of the subscription, except where disclosure is required by law or to professional advisers and suppliers who are subject to appropriate confidentiality obligations.
Information already lawfully public is not confidential merely because it appears in a Regstead scan.
20. Warranties and disclaimers
We warrant that we will provide the Service with reasonable care and skill.
Except as expressly stated in these Terms, and to the extent permitted by law, we do not warrant that the Service will identify every broken link, regulatory issue, omission, change, accessibility issue or other matter, or that every finding will be free from false positives or false negatives.
21. Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.
Subject to that:
- neither party is liable for indirect or consequential loss;
- we are not liable for loss of profit, revenue, business, anticipated savings, goodwill or opportunity, except to the extent such exclusion is not permitted by law;
- we are not liable for a regulatory, legal or business decision made solely in reliance on Regstead output without appropriate professional review; and
- our total aggregate liability arising out of or in connection with the Service in any rolling 12-month period is limited to the subscription fees paid or payable by you to Regstead in that 12-month period.
These limitations apply only to the extent they are reasonable and enforceable under applicable law.
22. What happens when the subscription ends
When the subscription ends, your right to use the Service ends at the end of the applicable paid period or on the effective termination date.
Where practical, we may allow a short period for you to obtain existing reports or exports. Unless law or an agreed retention arrangement requires otherwise, active service data will normally be deleted or anonymised within 90 days after termination. Backup copies may remain until normal backup rotation completes.
Clauses intended by their nature to continue, including intellectual property, confidentiality, accrued payment obligations and liability provisions, survive termination.
23. Changes to the Service or these Terms
We may update these Terms to reflect changes in law, security, technology or the Service. We will give reasonable notice of material changes that adversely affect an active subscription.
A change will not retrospectively increase fees for a completed billing period.
24. Force majeure
Neither party is liable for delay or failure caused by events outside its reasonable control, provided it takes reasonable steps to reduce the effect of the event.
25. General
You may not assign or transfer the subscription without our written consent, except as part of a genuine reorganisation or sale of your business where the successor accepts these Terms. We may assign our rights and obligations as part of a business transfer, reorganisation or sale.
If any provision is held unenforceable, the remainder of these Terms continues in effect.
A delay in enforcing a right does not waive that right.
The Order and these Terms constitute the entire agreement concerning the subscription and replace prior discussions about the same subject, except in the case of fraud or fraudulent misrepresentation.
26. Governing law and jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
